Project Terms & Conditions
1) Scope. Consultant will provide the services and deliverables listed in the Scope of Work. Anything not listed is out of scope and requires written approval (may affect fees and timeline).
2) Timeline + Client Inputs. Any timeline provided is an estimate. Delivery depends on Client providing required content, access, feedback, and approvals in a timely manner. Delays caused by missing inputs, late feedback/approvals, scope changes, or third-party issues extend the timeline.
3) Payment (Due Up Front). Full payment is required prior to the start of work, unless otherwise agreed in writing. Fees are non-refundable and non-transferable unless otherwise stated in writing. Consultant may pause or decline to begin work until payment is
received and cleared.
4) Ownership + Reusable Materials. Upon full payment, Client owns the final deliverables created specifically for Client. Consultant retains ownership of pre-existing templates, systems, frameworks, processes, and reusable components, and may reuse them.
5) Confidentiality. Consultant will keep Client information confidential and use it only to perform the services. This obligation survives termination.
6) No Guarantees. Consultant does not guarantee results of any kind. Consultant agrees to provide services in a professional manner based on available information and Client responsiveness.
7) Termination. Either party may terminate in writing. Client remains responsible for payment for work completed through the termination date. Consultant will deliver completed work once all outstanding balances are paid.
8) Limitation of Liability. Consultant is not liable for indirect, incidental, or consequential damages. Consultant’s total liability is limited to the amount paid by Client for the services.
9) Governing Law. This Agreement is governed by the laws of the Consultant’s home state, and venue will be in the Consultant’s county of residence, unless otherwise required by law.
Invoice Acknowledgment. By submitting this payment, you acknowledge that this invoice is non-refundable and that any timelines previously shared are provided as estimates, not guarantees. Completion of the done-for-you portion depends on receiving all necessary information and materials from you.
