Agreement Between User and J Downing Consulting

The www.jessicadowningcoaching.com website, referred to as the “Site,” is operated by J Downing Consulting.

The Site is offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained herein, referred to as the “Terms.” Your use of the Site constitutes your agreement to all such Terms. Please read these Terms carefully and keep a copy for your reference.

www.jessicadowningcoaching.com provides information, resources, consulting, coaching, strategy, website build support, marketing support, digital products, and related services for coaches, service providers, and business owners.

Privacy

Your use of the Site is subject to our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Electronic Communications

Visiting the Site, submitting forms, purchasing products or services, scheduling calls, or sending emails to J Downing Consulting constitutes electronic communications.

You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other communications that we provide electronically, by email, or through the Site satisfy any legal requirement that such communications be in writing.

Your Account

If you create an account, access a client portal, purchase a product, join a vault, access a course, schedule a service, or otherwise use any private area connected to J Downing Consulting, you are responsible for maintaining the confidentiality of your account information, login credentials, passwords, and access links.

You agree to accept responsibility for all activities that occur under your account or password. You may not assign or transfer your account to any other person or entity.

You acknowledge that J Downing Consulting is not responsible for third-party access to your account that results from theft, misuse, sharing, or misappropriation of your account information.

J Downing Consulting reserves the right to refuse or cancel service, terminate accounts, remove access, or edit or remove content at our sole discretion.

Age Requirement

To access or use this Site, purchase products or services, or enter into an agreement with J Downing Consulting, you must be at least 18 years old or have the permission of a parent or legal guardian.

J Downing Consulting does not knowingly collect personal information from children under the age of 13.

No Unlawful or Prohibited Use

Purchase and Refund Policy

By clicking “Buy Now,” “Purchase,” “Submit Payment,” “Enroll,” “Book Now,” or any other purchase button, by entering your payment information, or by otherwise enrolling electronically, verbally, or in writing, you agree to be provided with products, programs, services, consulting, coaching, strategy, or digital resources by J Downing Consulting.

Unless a separate written agreement, proposal, invoice, or Terms of Purchase states otherwise, all purchases are final.

Because many J Downing Consulting services include strategy, preparation, custom planning, consulting, copywriting, implementation, or reserved calendar time, private consulting, coaching, build intensives, VIP days, custom projects, and one-on-one services are non-refundable.

Digital products, templates, trainings, resources, and downloadable materials are also non-refundable unless otherwise stated on the specific sales page or checkout page.

Project Scope, Deliverables, and Client Responsibility

For custom services, consulting, coaching, website builds, funnel builds, copywriting, strategy, or implementation projects, the specific deliverables will be outlined in the applicable invoice, proposal, project description, sales page, checkout page, or written agreement.

The client is responsible for providing requested information, logins, brand materials, feedback, copy, images, approvals, and other items needed for the project in a timely manner.

J Downing Consulting is not responsible for delays, missed timelines, incomplete work, or changes in project outcome caused by delayed client communication, missing assets, unclear direction, incomplete questionnaires, missed calls, lack of access to required platforms, or failure to provide necessary feedback.

Any work requested outside the agreed scope may require an additional quote, invoice, or written approval before work begins.

Intellectual Property

All content included as part of the Site and related services, including but not limited to text, graphics, logos, images, designs, videos, trainings, templates, downloads, worksheets, copy, frameworks, strategy materials, page layouts, website content, course content, and the compilation thereof, is the property of J Downing Consulting or its suppliers and is protected by copyright and other laws that protect intellectual property and proprietary rights.

You agree to observe and abide by all copyright, trademark, proprietary notices, restrictions, and usage limitations contained in any such content.

You may view, print, or download one copy of publicly available materials from the Site solely for your personal, informational, non-commercial use, provided that you keep all copyright and proprietary notices intact.

You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce, perform, resell, license, share, or exploit any Site content, private client materials, paid resources, downloads, trainings, templates, or intellectual property, in whole or in part, without prior written consent from J Downing Consulting.

Your use of the Site or purchase of any product or service does not grant you ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of J Downing Consulting except as expressly authorized by these Terms or by a separate written agreement.

Client Materials and Submissions

J Downing Consulting does not claim ownership of materials you provide to us, including brand assets, copy, photos, testimonials, business information, questionnaire responses, project notes, comments, feedback, or other submissions, referred to as “Submissions.”

However, by submitting materials to J Downing Consulting, you confirm that you own the rights to those materials or have permission to use and share them.

You grant J Downing Consulting permission to use your Submissions as needed to provide the requested products, services, consulting, strategy, website builds, marketing support, or other work you have purchased or requested.

Unless otherwise agreed in writing, J Downing Consulting may reference completed work, screenshots, project outcomes, testimonials, or public-facing client results in its portfolio, marketing materials, website, social media, or sales materials.

If you require confidentiality or do not want your project shared publicly, that must be communicated in writing.

Use of Communication Services

The Site or related services may contain communication features, including but not limited to comment sections, forms, communities, message areas, chat features, groups, client portals, calendars, live trainings, webinars, or other communication tools, referred to as “Communication Services.”

You agree to use Communication Services only to post, send, and receive messages and materials that are proper, lawful, respectful, and related to the purpose of the Communication Service.

You agree that you will not use Communication Services to:

Defame, abuse, harass, stalk, threaten, or violate the legal rights of others.
Publish, post, upload, distribute, or disseminate inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful material.
Upload files that contain viruses, corrupted files, or software that may damage another person’s computer, account, systems, or data.
Advertise or offer to sell or buy goods or services unless such Communication Service specifically allows such messages.
Conduct surveys, contests, pyramid schemes, chain letters, spam, or unauthorized promotions.
Harvest or collect information about others, including email addresses, without consent.
Violate any applicable laws, rules, or regulations.

J Downing Consulting has no obligation to monitor Communication Services but reserves the right to review, edit, refuse, or remove materials at our sole discretion.

We also reserve the right to terminate access to any Communication Services at any time without notice.

No Guarantee of Results

LIMITATION OF LIABILITY

(II) LOSS OF REVENUE, ANTICIPATED PROFITS, BUSINESS OPPORTUNITIES, SAVINGS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES;
(III) THIRD-PARTY THEFT, DESTRUCTION, UNAUTHORIZED ACCESS, ALTERATION, OR USE OF YOUR INFORMATION OR PROPERTY;
(IV) YOUR USE OF, OR RELIANCE ON, ANY INFORMATION, RECOMMENDATIONS, STRATEGIES, SERVICES, OR MATERIALS PROVIDED BY J DOWNING CONSULTING; AND
(V) THE PERFORMANCE, AVAILABILITY, SECURITY, OR FUNCTIONALITY OF ANY THIRD-PARTY TOOLS, WEBSITES, SOFTWARE, PAYMENT PROCESSORS, EMAIL PLATFORMS, WEBSITE PLATFORMS, SCHEDULING TOOLS, OR OTHER SERVICES USED IN CONNECTION WITH THE SITE OR YOUR PROJECT.

THE FOREGOING APPLIES WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF J DOWNING CONSULTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL J DOWNING CONSULTING’S CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO J DOWNING CONSULTING FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless J Downing Consulting, its owner, officers, contractors, team members, affiliates, agents, and third parties from and against any losses, costs, liabilities, damages, claims, and expenses, including reasonable attorneys’ fees, relating to or arising out of:

Your use of or inability to use the Site, products, or services.
Your violation of these Terms.
Your violation of any rights of a third party.
Your violation of any applicable laws, rules, or regulations.
Any materials, submissions, content, or information you provide to J Downing Consulting.

J Downing Consulting reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to fully cooperate in asserting any available defenses.

No Joint Venture or Agency Relationship

You agree that no joint venture, partnership, employment, contractor, franchise, or agency relationship exists between you and J Downing Consulting as a result of these Terms, your use of the Site, or your purchase of any product or service.

Severability

If any part of these Terms is determined to be invalid, void, or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid and enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in full force and effect.

Entire Agreement

Unless otherwise specified in a separate written agreement, proposal, invoice, sales page, or terms of purchase, these Terms constitute the entire agreement between you and J Downing Consulting with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

A printed version of these Terms and any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

IN THOSE STATES THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR THE DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL J DOWNING CONSULTING CUMULATIVE LIABILITY TO YOU EXCEED $100.

GOVERNING LAW; VENUE; MEDIATION

This Agreement shall be governed by and construed in accordance with the laws of the State of ARIZONA within the United States, regardless of the conflict of laws and principles thereof.

If a dispute is not resolved first by good-faith negotiation between the parties to this Agreement, any controversy or dispute to this Agreement will be submitted to the American Arbitration Association. The arbitration shall occur within ninety (90) days from the date of the initial arbitration demand and shall take place in PHOENIX, AZ or via telephone. The Parties shall cooperate in exchanging and expediting discovery as part of the arbitration process and shall cooperate with each other to ensure that the arbitration process is completed within the ninety (90) day period. The written decision of the arbitrators (which will provide for the payment of costs, including attorneys’ fees) will be absolutely binding and conclusive and not subject to judicial review, and may be entered and enforced in any court of proper jurisdiction, either as a judgment of law or decree in equity, as circumstances may indicate.

SEVERABILITY

If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

ASSIGNMENT

These Terms of Service bind and inure to the benefit of the parties successors and assigns. These Terms of Service are not assignable, delegable or otherwise transferable by you. Any transfer, assignment or delegation by you is invalid.

ENTIRE AGREEMENT; WAIVER; HEADINGS

This Agreement constitutes the entire agreement between you and J Downing Consulting pertaining to the Site and Service and supersedes all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of this Agreement by J Downing Consulting shall be deemed or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by J Downing Consulting. The subject headings of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.
